1. About These Terms

These Visitor Terms of Service ("Terms") govern your use of the Visamila.com website, platform, applications and related services ("Platform" or "Service").

The Platform is operated by Hasbi Limited ("Visamila", "we", "us" or "our").

By creating an account, submitting a Requirement, using the Platform or otherwise indicating acceptance of these Terms, you agree to be bound by them.

If you do not agree to these Terms, you must not use the Platform.

Your use of the Platform is also subject to the Visamila Privacy Policy, which forms part of the overall framework governing your use of the Platform.

2. What Visamila Does

Visamila is an online technology platform that connects people seeking visa, immigration, relocation or related assistance ("Visitors", "you" or "your") with independent immigration advisers, migration professionals, lawyers, consultants and other professional service providers ("Consultants").

Visamila is a technology and connection platform only.

Visamila does not:

  • provide immigration advice;
  • assess your eligibility for a visa;
  • recommend a visa pathway;
  • prepare or submit your application;
  • provide legal advice;
  • guarantee the accuracy of advice provided by a Consultant;
  • guarantee that a Consultant is suitable for your particular circumstances; or
  • guarantee the outcome of any visa, immigration, travel or relocation application.

Any professional advice or service you receive is provided directly by the Consultant you choose to engage.

Visa, immigration and entry decisions are made by the relevant government authority. Visamila has no control over those decisions.

3. Free Visitor Service

Submitting a Requirement and using the core Visitor connection features of Visamila are free to Visitors unless we expressly state otherwise.

Visamila does not charge a Visitor a commission on professional fees agreed between the Visitor and a Consultant.

Any fees charged for professional services, government applications, translations, document preparation, travel, relocation or other services are matters between you and the relevant provider.

4. Eligibility

You must:

  • be at least 18 years old; and
  • have legal capacity to enter into these Terms.

You may submit information concerning another person only where you are authorised to do so.

You are responsible for ensuring that you have the necessary authority to submit another person's personal information.

5. Creating an Account

You may create an account using the registration methods made available by Visamila, which may include email/password registration or third-party sign-in such as Google.

You must provide information that is accurate and reasonably current.

You are responsible for maintaining the security of your account credentials and must promptly notify Visamila if you believe your account has been accessed without authorisation.

You must not:

  • impersonate another person;
  • create an account using another person's identity without authority;
  • create multiple accounts for fraudulent or abusive purposes; or
  • provide false or misleading information.

6. Submitting a Requirement

You may submit a request for assistance ("Requirement") describing the visa, immigration, relocation or related service you are seeking.

Depending on the type of Requirement, the information requested may include:

  • nationality and country of origin;
  • destination;
  • visa type;
  • travel or relocation timeline;
  • budget range;
  • education;
  • occupation and employment;
  • language qualifications;
  • financial circumstances;
  • assets;
  • previous visa refusals;
  • current immigration or visa status;
  • family and relationship information;
  • travel-party information;
  • health or character information;
  • humanitarian or protection-related information; and
  • other information reasonably relevant to the Requirement.

You should only provide information that is relevant and reasonably necessary for your Requirement.

You must not knowingly submit false, misleading, fraudulent or materially incomplete information.

7. Contact Information and Lead Sharing

Before a Consultant unlocks your Requirement, eligible Consultants may receive a limited summary of your Requirement.

Contact information is intended to be kept out of the open Requirement summary. Visamila may automatically redact contact information included in designated free-text fields, but you remain responsible for not unnecessarily placing personal contact details in public or shared fields.

A maximum of four Consultants may unlock a Requirement, unless Visamila changes this limit.

When a Consultant unlocks your Requirement, you authorise Visamila to disclose the contact information you supplied for the purpose of enabling that Consultant to contact you regarding the specific Requirement.

This may include:

  • your name;
  • email address;
  • telephone number; and
  • whether you have provided or enabled WhatsApp contact information.

You will receive the Consultant's professional name, declared business or practice name, email address and telephone number where those details are available.

8. Lead Availability and Consultant Response

Visamila facilitates connections between Visitors and Consultants, but does not guarantee that a particular number of Consultants will receive, view or respond to a Requirement.

Consultant Lead notifications and Lead unlocking may be affected by technical or operational factors, including internet connectivity, telecommunications networks, email or messaging delivery, cloud infrastructure, third-party service providers, device or browser performance, system latency, outages, maintenance, security measures and other circumstances outside Visamila's reasonable control.

Where Leads are allocated on a first-come, first-served basis, Consultants may receive or act on notifications at different times. A Consultant may therefore become aware of a Requirement after another Consultant has already unlocked it, or may not receive or successfully access a notification.

Visamila does not guarantee that every eligible Consultant will receive a notification or that a Consultant will respond to a Requirement within any particular period.

To the maximum extent permitted by law, Visamila is not responsible for any loss, delay or missed opportunity arising solely from technical or operational delays or failures affecting Consultant notifications, Lead visibility, Lead unlocking or Consultant response.

Nothing in this clause limits any liability that cannot lawfully be excluded or limited under applicable law.

9. Direct Relationship With Consultants

Any agreement for immigration advice, legal advice, consulting, relocation assistance or another professional service is between you and the Consultant.

Visamila is not a party to that agreement.

You are responsible for:

  • assessing whether the Consultant is suitable;
  • reviewing the Consultant's professional status;
  • agreeing the scope of services;
  • agreeing fees;
  • signing any engagement agreement;
  • supplying documents to the Consultant; and
  • making decisions regarding your immigration or relocation matter.

Where applicable, you should independently verify that the Consultant is licensed or otherwise legally permitted to provide the relevant advice.

10. Consultant Verification and Endorsement

Visamila may perform administrative checks on Consultant information, including checking declared professional registration information against publicly available regulatory registers.

Such checks are not a guarantee or certification of:

  • competence;
  • professional standing;
  • legal compliance;
  • suitability;
  • experience;
  • business identity; or
  • quality of advice.

A Consultant's business or practice name may be self-declared and may not have been independently verified by Visamila.

A Consultant appearing on Visamila does not constitute an endorsement or recommendation by Visamila.

11. Professional Advice and Visa Outcomes

Visamila does not control the advice or services provided by Consultants.

Visamila does not guarantee:

  • visa approval;
  • immigration status;
  • application processing time;
  • entry permission;
  • work permission;
  • study permission;
  • residence;
  • citizenship;
  • appeal outcomes; or
  • any other government decision.

Government agencies may change immigration laws, policies, requirements and processing procedures without notice.

You remain responsible for complying with applicable laws and providing truthful information to government authorities and Consultants.

12. Your Personal Information

Visamila collects and uses personal information in accordance with its Privacy Policy and the Privacy Act 2020.

Information may be collected to:

  • create and administer your account;
  • process and manage Requirements;
  • match Requirements with Consultants;
  • facilitate communication;
  • provide Platform functionality;
  • maintain security;
  • prevent fraud, spam and abuse;
  • administer feedback and surveys;
  • improve the Platform;
  • comply with legal obligations;
  • investigate suspected unlawful or improper conduct; and
  • perform other purposes described in the Privacy Policy.

Some Requirements may involve information that is particularly sensitive in nature, including health, character, religious, financial, family or humanitarian/protection information.

13. Disclosure to Consultants

You expressly authorise Visamila to disclose the information reasonably necessary to connect you with Consultants who unlock your Requirement.

Once your information has been disclosed to an independent Consultant, that Consultant may become independently responsible for handling that information.

Visamila does not control how an independent Consultant handles information after disclosure.

You should review the Consultant's own privacy and engagement arrangements before providing additional information.

14. Government and Regulatory Disclosure

Visamila does not routinely provide Visitor information to government agencies.

Visamila may disclose personal information where:

  • required or authorised by law;
  • required by a valid court order, warrant, statutory demand or other lawful process;
  • necessary to comply with a regulatory obligation; or
  • reasonably necessary to report suspected fraud, unlawful conduct or the provision of immigration advice by a person who may not be authorised to provide it.

Relevant authorities may include courts, police and law-enforcement agencies, immigration authorities, professional regulators, privacy regulators, tax authorities and other competent government or regulatory bodies.

Visamila will disclose only information reasonably required for the applicable purpose, subject to applicable law.

15. Marketing and Promotional Communications

Visamila may send service-related communications necessary to operate your account or Requirement.

Optional marketing is separate from core Platform functionality.

If you expressly opt in, Visamila may send you promotional communications about:

  • Visamila products and services;
  • education opportunities;
  • relocation and travel opportunities;
  • financial services; and
  • employment and recruitment opportunities.

Marketing communications may be sent by email and, where supported and lawfully enabled, SMS or WhatsApp.

You may withdraw your marketing consent at any time using the unsubscribe or opt-out mechanism provided or by contacting [email protected].

Visamila will not make access to the core Visitor service conditional on consenting to optional marketing.

16. Partner Offers

Where you opt in to partner-related marketing, Visamila may use relevant information you have provided to determine which partner offers may be relevant to you.

Visamila may send those offers directly to you.

Visamila does not provide your personal information to those partners merely because you have opted in to receive partner offers.

A partner will receive your personal information only where you separately authorise such disclosure or where disclosure is otherwise permitted by law.

17. De-identified and Aggregated Information

Visamila may create and use information that has been aggregated or de-identified so that it cannot reasonably identify an individual.

Visamila may use, publish, licence or commercialise such information for purposes including:

  • research;
  • analytics;
  • industry insights;
  • market reports;
  • product development;
  • business intelligence; and
  • commercial reporting.

Visamila will not intentionally present de-identified information in a manner designed to identify an individual.

18. Automated Processing and AI

Visamila may use automated tools to assist with functions such as:

  • Requirement matching;
  • spam detection;
  • fraud detection;
  • security;
  • abuse prevention; and
  • platform administration.

Visamila does not use Visitor personal information to train general-purpose AI models.

Automated processing does not mean that Visamila provides immigration advice or makes government immigration decisions.

19. Communications With Consultants

A Consultant may contact you concerning the specific Requirement after unlocking it.

Consultants are not permitted under their agreement with Visamila to use your contact information for unrelated marketing without your express consent.

You may request that a Consultant stop contacting you.

20. Prohibited Conduct

You must not:

  • submit fraudulent or deliberately misleading Requirements;
  • upload malicious software;
  • attempt to compromise the Platform;
  • scrape or harvest Platform data;
  • use automated bots without Visamila's permission;
  • impersonate another person;
  • attempt to circumvent Consultant unlock limits;
  • create accounts for fraudulent purposes;
  • interfere with another user's account;
  • use the Platform for unlawful purposes;
  • misuse personal information obtained through the Platform; or
  • attempt to obtain access to information that you are not authorised to access.

21. Monitoring, Security and Fraud Prevention

Visamila may monitor Platform activity to the extent reasonably necessary for:

  • security;
  • fraud prevention;
  • abuse prevention;
  • technical operation;
  • compliance;
  • investigation of suspected unlawful activity; and
  • enforcement of these Terms.

Visamila may use automated and manual measures to detect suspicious activity.

Visamila may restrict, block, remove or investigate activity that it reasonably considers to present a security, legal, fraud or abuse risk.

22. Feedback and Surveys

Visamila may invite you to provide feedback concerning:

  • your experience;
  • whether you engaged a Consultant;
  • outcomes;
  • Platform functionality;
  • suggestions; and
  • satisfaction.

You agree that Visamila may use feedback for service improvement and internal analysis.

Where feedback is intended to be publicly attributed to you, Visamila will seek any consent required by law.

23. Intellectual Property

Visamila and its licensors own all intellectual property rights in the Platform, including its software, design, branding, databases, interfaces, content and technology, except for third-party materials and Visitor content.

You retain ownership of information and content you submit.

You grant Visamila a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, process and use your submitted content to the extent reasonably necessary to operate, secure, maintain and improve the Platform and provide the Service.

You must not:

  • copy or reproduce the Platform;
  • reverse engineer the Platform;
  • attempt to obtain source code;
  • scrape Platform databases;
  • commercially exploit Visamila data without permission;
  • use Visamila data to build a competing database or service; or
  • use Visamila content to train an external AI model.

24. Availability and Third-Party Services

Visamila aims to provide a reliable Platform but does not guarantee that the Platform will always be available or uninterrupted.

The Platform may depend on third-party services, including hosting, network, email, authentication and payment providers.

Visamila is not responsible for outages or failures caused by third-party services beyond its reasonable control.

25. Suspension and Termination

Visamila may suspend or terminate your account or Requirement where reasonably necessary because of:

  • breach of these Terms;
  • fraud or suspected fraud;
  • unlawful conduct;
  • abuse;
  • security risks;
  • misleading information;
  • misuse of another person's information;
  • regulatory concerns; or
  • operational or legal requirements.

Where reasonably practicable, Visamila may provide notice before suspension or termination, but immediate action may be taken where necessary to protect users, the Platform or Visamila.

You may stop using the Platform at any time.

26. Account Deletion

You may request deletion of your account by contacting [email protected].

Visamila aims to erase or anonymise account and profile information within 30 days of a valid deletion request, subject to information that Visamila is required or permitted to retain.

Backups may remain for up to a further 30 days before being overwritten or deleted in accordance with normal backup cycles.

Certain information, including payment, tax, consent, Terms acceptance, fraud, dispute or legal records, may be retained for longer periods where required or permitted by law.

Information already disclosed to an independent Consultant may remain with that Consultant.

27. Consumer Rights

Nothing in these Terms excludes, restricts or modifies any right, guarantee or remedy that cannot lawfully be excluded under the Consumer Guarantees Act 1993, Fair Trading Act 1986 or other mandatory applicable consumer protection law.

28. Limitation of Liability

To the maximum extent permitted by law, Visamila is not liable for indirect, incidental, special or consequential loss, including loss arising from:

  • visa refusal;
  • immigration decisions;
  • missed travel opportunities;
  • professional fees paid to Consultants;
  • government application fees;
  • Consultant advice;
  • Consultant conduct;
  • delays by government agencies; or
  • decisions made by third-party service providers.

To the maximum extent permitted by law, Visamila's aggregate liability arising from your use of the Platform is limited to NZD $100.

Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.

29. Indemnity

To the extent permitted by law, you agree to indemnify Visamila against losses, claims, liabilities and reasonable costs arising directly from your:

  • fraudulent use of the Platform;
  • unlawful conduct;
  • deliberate misuse of another person's information;
  • infringement of third-party intellectual property rights; or
  • material breach of these Terms.

This clause does not require you to indemnify Visamila for Visamila's own unlawful conduct or liability that cannot legally be transferred to you.

30. Force Majeure

Visamila is not responsible for failure or delay caused by circumstances beyond its reasonable control, including:

  • telecommunications failure;
  • internet or cloud outages;
  • cyberattacks;
  • power failure;
  • natural disasters;
  • pandemics;
  • industrial disputes;
  • war;
  • terrorism;
  • government action; or
  • other events beyond reasonable control.

31. Changes to These Terms

Visamila may update these Terms from time to time.

Where a change is material, Visamila will take reasonable steps to notify users where required by law.

The updated Terms will apply from the effective date stated in the updated version.

Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms to the extent permitted by law.

32. Privacy Policy

Our Privacy Policy explains how Visamila collects, uses, stores, protects and discloses personal information.

The Privacy Policy is available through the Platform and forms part of the contractual framework governing your use of Visamila.

33. Governing Law

These Terms are governed by the laws of New Zealand.

You and Hasbi Limited submit to the non-exclusive jurisdiction of the courts of New Zealand.

Nothing in this clause prevents you from exercising any mandatory rights available to you under applicable consumer protection law.

34. General

These Terms constitute the agreement between you and Visamila concerning your use of the Platform.

If any provision is held to be invalid or unenforceable, the remaining provisions continue to apply to the extent permitted by law.

A failure by Visamila to enforce a provision does not constitute a waiver of that provision.

You may not transfer your rights or obligations under these Terms without Visamila's prior written consent.

Visamila may assign or transfer its rights and obligations in connection with a corporate restructuring, merger, acquisition, sale of the Platform or business, or other legitimate business transaction, subject to applicable privacy law.
